Terms of Service

These Terms of Service ("Terms") govern your use of lsjsystems.com (the "Site") and related inquiry, intake, billing, and client portal features operated by LSJ Systems Consulting LLC, doing business as LSJ Systems ("LSJ Systems," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms.

1. Use of the Site

You may use the Site only for lawful purposes and only in a manner consistent with these Terms. You agree not to misuse the Site, interfere with its operation, attempt unauthorized access, or use the Site to transmit unlawful, infringing, fraudulent, or harmful content.

2. No Engagement Created by Site Use Alone

Submitting an inquiry, completing an intake, requesting a quote, or communicating through the Site does not by itself create a client, contractor, fiduciary, or ongoing service relationship. Any paid or retained engagement is subject to separate written approval, scope, and payment terms.

3. Accounts, Access Codes, and Vault Use

Certain areas of the Site may require approval, login credentials, access codes, or other gated access. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account or access code.

One-time invite codes expire 48 hours after issuance unless we expressly state a different window. For security, authenticated client and admin sessions may expire after 30 minutes of inactivity or 12 hours after sign-in, whichever occurs first. After expiration, you must sign in again before protected areas reopen.

Project workspace access is limited to the active engagement and any separate archive or post-delivery access window stated in the applicable project documents.

We may suspend, revoke, or limit access at any time where access is unauthorized, expired, abused, or no longer associated with an approved project.

4. Intake, Submissions, and Communications

You represent that information you submit through the Site is accurate, current, and that you have the right to provide it. Do not submit confidential, proprietary, or sensitive information unless and until doing so is appropriate for an approved engagement or explicitly requested by us.

We may use submitted information to evaluate potential fit, communicate with you, administer projects, and operate the Site in accordance with our Privacy Policy.

5. Age-Restricted and Sensitive Deliverables

LSJ may accept lawful adult-oriented, privacy-sensitive, or otherwise confidential deliverables on a case-by-case basis. If you submit or request such work, you represent that you are at least 18 years old and that you have the legal right to provide the material and request the deliverable.

Do not use the Site to submit or request any content that is unlawful, exploitative, non-consensual, involves minors, or otherwise violates applicable law or third-party rights. We may refuse, remove, suspend, or report prohibited material.

Unless separately authorized in writing, lawful adult-oriented or privacy-sensitive deliverables are handled as private client work only. They are not published in LSJ's public gallery, portfolio, social promotion, or branded showcase materials, and LSJ branding is not added solely because the work was fulfilled through the Site.

6. Payments and Billing

If you make a payment through the Site, an invoice link, or a hosted checkout session, you agree to pay the stated amount and any applicable taxes or fees. Payments may be processed through third-party providers, including Stripe, or through off-site methods such as bank transfer.

Separate engagement-specific proposals, invoices, statements of work, or written agreements control project-specific pricing, deliverables, timing, revisions, refunds, deposits, and cancellation terms.

7. Intellectual Property

The Site, its design, branding, copy, graphics, and non-client materials are owned by or licensed to LSJ Systems and are protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you.

Client-owned materials remain subject to the ownership and license terms set out in the applicable project agreement.

8. Feedback and Reviews

If you voluntarily provide feedback, suggestions, or comments about the Site or our services, we may use that feedback to improve our operations without compensation to you. Nothing in these Terms is intended to prohibit or penalize lawful, honest opinions or reviews about your experience with us.

9. Third-Party Services and Links

The Site may use or link to third-party services, platforms, or providers. We are not responsible for the availability, terms, privacy practices, or content of third-party services. Your use of any third-party service is governed by that provider's own terms and policies.

10. Disclaimers

The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted access, error-free operation, or that the Site will always be secure or available at any specific time.

11. Limitation of Liability

To the fullest extent permitted by law, LSJ Systems Consulting LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Site, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability arising from or related to the Site will not exceed the greater of the amount you paid us through the Site for the specific transaction at issue or one hundred U.S. dollars (USD $100).

12. Suspension and Termination

We may suspend or terminate access to the Site or any account, project workspace, or billing feature at any time if we believe these Terms have been violated, access is unauthorized, payment obligations are unmet, or continued access creates operational, legal, or security risk.

13. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" above indicates when they were last revised. Continued use of the Site after updated Terms become effective constitutes acceptance of the revised Terms.
